Term sheet red-flag checker: what is standard, and what is not

Eighteen terms that show up in seed and Series A term sheets, weighted by how much they cost founders. Tick the ones in your sheet, read why each one matters, and copy the list for your lawyer.

Tick every term that appears in your term sheet. Severity is weighted: the score shows how far the sheet sits from the seed-stage standard.

Standard
Close to the seed-stage standard. Negotiate the details, not the structure.
How to verify
  • Compare against a public standard: the YC post-money SAFE or the NVCA model term sheet.
  • Ask the investor which terms they have waived in other seed deals.
  • Get a lawyer who closes venture rounds regularly, not a general counsel.

What a standard seed term sheet looks like

A 1x non-participating liquidation preference, broad-based weighted average anti-dilution, a board with a founder majority or a balanced board with an independent, pro-rata rights, standard protective provisions and a no-shop of 30 to 45 days. Anything beyond that is a negotiation, not a requirement.

The terms that cost the most

Participation without a cap, preferences above 1x, full ratchet anti-dilution and investor board control. Each one can take more value from founders than a 20 percent lower valuation. Valuation is the number founders fight over; these terms are where investors win.

How to negotiate

Ask which terms the investor has waived in other seed deals; most have. Trade: a slightly lower valuation for a clean structure is usually the better deal. Get a lawyer who closes venture rounds; the fee is small next to the terms.

Red flags vs deal breakers

A no-shop of 60 days is a red flag. A personal guarantee is a deal breaker. The score separates the two: severe terms push the result to high on their own.

Questions founders ask

Is this legal advice?

No. It helps you prepare for the lawyer, not replace one.

What if the term sheet uses a SAFE?

SAFEs have fewer terms. Use the SAFE walkthrough and the stacked SAFE calculator instead.

Does it cover Series A?

The same terms apply; Series A sheets have more of them. The NVCA model term sheet is the reference.
