What is due diligence in a seed round?

The investor’s verification that the company is what the deck says: that it exists, owns its product, has the customers and revenue it claims and has no hidden liabilities. At seed it takes one to four weeks and stalls mainly on missing documents.

What goes in a data room?

A folder per group in this checklist, consistent file names and a one-page index. Share a view-only link and track who opened what. The best data rooms answer the question before it is asked.

Which gaps kill deals?

Missing IP assignments from contractors or early collaborators, a cap table that does not match the signed documents, and bank statements that do not reconcile with the P&L. All three are fixable before you start the process.

What is different for AI-built products?

Investors ask who owns generated code, which licences the dependencies carry and whether secrets ever lived in the repository. The AI-built technical checklist covers it.

Questions founders ask

Do I need all 34 items at pre-seed?

No. Corporate documents, the cap table, team agreements and basic financials cover most pre-seed checks; the rest matters at seed and beyond.

Can I share the checklist with my co-founder?

Copy the missing items with the button and paste them anywhere.

Does SeedScope store my answers?

No. The checklist runs in your browser.
