DISTANCE SALES AGREEMENT
This Distance Sales Agreement ("Agreement") is entered into electronically between:

FastSpring acts as the Merchant of Record for all SeedScope transactions. FastSpring is responsible for processing payments, collecting applicable taxes (VAT/sales tax), issuing invoices and receipts, and handling billing-related inquiries on behalf of SeedScope. FastSpring's Terms of Sale for Purchasers (https://fastspring.com/legal/) apply to all purchase transactions.

Buyer / Customer
The individual or legal entity who purchases services through https://www.seedscope.ai
(Hereinafter referred to as the "Buyer" or "User")
By completing a purchase electronically, the Buyer accepts the terms of this Agreement.

1. Subject of the Agreement
   This Agreement governs the rights and obligations of the parties regarding the sale and delivery of digital Software-as-a-Service (SaaS) services offered by SeedScope through its online platform, in accordance with Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

2. Description of the Service
   SeedScope is a Software-as-a-Service (SaaS) platform that provides automated, AI-powered digital tools and analytics. Services include but are not limited to:

AI-powered startup valuation reports
Startup assessment and benchmarking tools
Fundraising readiness analysis
Subscription-based access to digital dashboards and insights

All reports, scores, analytics, and insights are generated automatically by SeedScope's proprietary AI software. SeedScope does not provide consulting, advisory, financial advice, or any human-delivered professional services.
No physical goods are sold or delivered.
3. Price & Payment

Service prices are displayed clearly on the website before purchase.
All payments are processed securely by FastSpring, acting as SeedScope's Merchant of Record. FastSpring handles billing, invoicing, and the collection of applicable sales tax and VAT.
FastSpring accepts major credit and debit cards (including Visa, Mastercard, and American Express), PayPal, and additional payment methods available in your region.

Prices may be offered as:

One-time payments
Monthly or annual subscriptions

Payments are made in the currency displayed at checkout, which may include USD, EUR, GBP, TRY, or other currencies supported by FastSpring in the Buyer's region.
The Buyer confirms that they have reviewed and accepted the price prior to completing the transaction. By completing a purchase, the Buyer also agrees to FastSpring's Terms of Sale for Purchasers (https://fastspring.com/legal/). Invoices and payment receipts are issued by FastSpring.
4. Delivery of Service

Services are delivered digitally.
Access is granted via the Buyer's SeedScope account.

Delivery occurs:

Immediately after successful payment, or
Within 24 hours in rare technical cases

Once access is granted, the service is deemed delivered.
5. Consumer Right to Cancel
5.1 14-Day Cancellation Right
If the Buyer is a consumer, they have the right to cancel the purchase and receive a full refund within 14 days from the date of the transaction, without giving any reason. To meet the cancellation deadline, it is sufficient to send a communication concerning the exercise of the cancellation right before the expiration of the 14-day period.
To exercise this right, the Buyer may contact:

FastSpring directly via https://fastspring.com/consumer-support/

If the Buyer cancels within this 14-day period, FastSpring will reimburse all payments received without undue delay and no later than 14 days after being informed of the decision to cancel. The reimbursement will be made using the same means of payment as the original transaction, and the Buyer will not incur any fees as a result.
5.2 Exception for Digital Content
The consumer's right to cancel does not apply to the supply of digital content that has been started to be downloaded, streamed, or otherwise acquired, and to products which the Buyer has had the benefit of.
Where a product is digital content which is immediately made available, by downloading or otherwise acquiring the product, the Buyer consents to immediate performance and acknowledges that they will lose their right of withdrawal once the download or applicable transmission of the digital content has begun.
5.3 Turkish Consumer Law
In accordance with Article 15 of the Regulation on Distance Contracts (under Turkish Consumer Protection Law No. 6502), since SeedScope provides digital content and services delivered instantly, the Buyer waives the right of withdrawal once the service delivery has begun, platform access has been granted, or a valuation report or analysis has been generated. By completing the purchase, the Buyer expressly agrees to immediate performance of the service.
6. Refund Policy
All refunds are handled by FastSpring in accordance with FastSpring's refund policy. Refunds are provided at the discretion of FastSpring on a case-by-case basis. FastSpring may refuse a refund request or issue a refund proactively where there is evidence of fraud, a high risk of chargeback, or other manipulative behaviour.
This does not affect the Buyer's rights as a consumer in relation to products which are not as described, faulty, or not fit for purpose.
To request a refund, the Buyer may contact SeedScope at info@seedscope.ai or FastSpring directly via https://fastspring.com/consumer-support/. Approved refunds are processed by FastSpring through the original payment method.
The Delivery & Refund Policy (https://www.seedscope.ai/legal/delivery-refund-policy) provides additional detail and forms an integral part of this Agreement.
7. Buyer Obligations
The Buyer agrees that:

All information provided during purchase is accurate and complete.
They will use the service in accordance with the Terms of Service.
They will not misuse, resell, or abuse the platform.
They meet the minimum age requirement (18+).

8. Seller Rights
   SeedScope reserves the right to:

Suspend or terminate access for Terms of Service violations.
Refuse service in cases of fraud or misuse.
Modify pricing, service scope, or features at its discretion.

No refunds will be issued in cases of justified suspension or termination.
9. Privacy & Data Protection
Personal data is processed in accordance with SeedScope's Privacy Policy, available at: https://www.seedscope.ai/legal/privacy-policy
For payment transactions, FastSpring processes personal and payment data in accordance with its own privacy policy, available at: https://fastspring.com/privacy/
By accepting this Agreement, the Buyer consents to such processing in accordance with the EU General Data Protection Regulation (GDPR) and the Turkish Personal Data Protection Law (KVKK, Law No. 6698) where applicable.
10. Governing Law & Jurisdiction
This Agreement is governed by the laws of the Republic of Turkey.
Any disputes arising from this Agreement shall be resolved exclusively by the courts of Turkey, unless otherwise required by mandatory consumer protection laws. For consumers in the European Economic Area, mandatory consumer protection laws of the consumer's country of residence may also apply.
11. Electronic Acceptance
This Agreement is concluded electronically. The Buyer acknowledges that:

Electronic acceptance is legally binding.
No physical signature is required.
The Agreement is stored digitally and accessible upon request.

12. Entry into Force
    This Agreement enters into force at the moment the Buyer completes the payment and confirms the purchase electronically. The payment transaction is processed by FastSpring as Merchant of Record; however, the contractual relationship for the delivery and use of SeedScope's services remains between SeedScope and the Buyer.
