This Distance Sales Agreement (“Agreement”) is entered into electronically between:

(Hereinafter referred to as “SeedScope” or “Seller”)

Buyer / Customer

The individual or legal entity who purchases services through https://www.seedscope.ai
(Hereinafter referred to as the “Buyer” or “User”)

By completing a purchase electronically, the Buyer accepts the terms of this Agreement.

1. Subject of the Agreement

This Agreement governs the rights and obligations of the parties regarding the sale and delivery of digital services offered by SeedScope through its online platform, in accordance with Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

2. Description of the Service

SeedScope provides digital SaaS services, including but not limited to:

  • AI-powered startup valuation reports

  • Startup assessment and benchmarking tools

  • Fundraising readiness analysis

  • Subscription-based access to digital dashboards and insights

No physical goods are sold or delivered.

3. Price & Payment

  • Service prices are displayed clearly on the website before purchase

  • Payments are processed securely via iyzico

  • Payment methods include credit and debit cards

  • Prices may be offered as:

    • One-time payments

    • Monthly or annual subscriptions

  • Payments are made in USD, EUR, or TRY

The Buyer confirms that they have reviewed and accepted the price prior to completing the transaction.

4. Delivery of Service

  • Services are delivered digitally

  • Access is granted via the Buyer’s SeedScope account

  • Delivery occurs:

    • Immediately after successful payment, or

    • Within 24 hours in rare technical cases

Once access is granted, the service is deemed delivered.

5. Right of Withdrawal

In accordance with Article 15 of the Regulation on Distance Contracts:

Since SeedScope provides digital content and services delivered instantly, the Buyer waives the right of withdrawal once:

  • The service delivery has begun

  • Platform access has been granted

  • A valuation report or analysis has been generated

By completing the purchase, the Buyer expressly agrees to immediate performance of the service and acknowledges the loss of the right of withdrawal.

6. Refund Conditions

Refunds are governed by the Delivery & Refund Policy, which forms an integral part of this Agreement.

In summary:

  • No refunds are issued after service delivery

  • Subscription cancellations prevent future charges only

  • Exceptional refunds may be evaluated in limited cases such as duplicate payments or technical failures

7. Buyer Obligations

The Buyer agrees that:

  • All information provided during purchase is accurate and complete

  • They will use the service in accordance with the Terms of Service

  • They will not misuse, resell, or abuse the platform

  • They meet the minimum age requirement (18+)

8. Seller Rights

SeedScope reserves the right to:

  • Suspend or terminate access for Terms of Service violations

  • Refuse service in cases of fraud or misuse

  • Modify pricing, service scope, or features at its discretion

No refunds will be issued in cases of justified suspension or termination.

9. Privacy & Data Protection

Personal data is processed in accordance with SeedScope’s Privacy Policy, available at:
https://www.seedscope.ai/legal/privacy-policy

By accepting this Agreement, the Buyer consents to such processing.

10. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of Turkey.

Any disputes arising from this Agreement shall be resolved exclusively by the courts of Turkey, unless otherwise required by mandatory consumer protection laws.

11. Electronic Acceptance

This Agreement is concluded electronically.
The Buyer acknowledges that:

  • Electronic acceptance is legally binding

  • No physical signature is required

  • The Agreement is stored digitally and accessible upon request

12. Entry into Force

This Agreement enters into force at the moment the Buyer completes the payment and confirms the purchase electronically.
