This Distance Sales Agreement ("Agreement") is entered into electronically between:

The individual or legal entity who purchases services through https://www.seedscope.ai
(Hereinafter referred to as the "Buyer" or "User")
By completing a purchase electronically, the Buyer accepts the terms of this Agreement.
1. Subject of the Agreement
This Agreement governs the rights and obligations of the parties regarding the sale and delivery of digital Software-as-a-Service (SaaS) services offered by SeedScope through its online platform. Where the Buyer is a consumer, this Agreement is provided in accordance with applicable distance-selling and consumer-protection laws, including, for consumers resident in Turkey, Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts, and, for consumers resident in the European Economic Area or the United Kingdom, the applicable consumer rights legislation of their country of residence.
2. Description of the Service
SeedScope is a Software-as-a-Service (SaaS) platform that provides automated, AI-powered digital tools and analytics. Services include but are not limited to:
AI-powered startup valuation reports
Startup assessment and benchmarking tools
Fundraising readiness analysis
Subscription-based access to digital dashboards and insights
All reports, scores, analytics, and insights are generated automatically by SeedScope's proprietary AI software. SeedScope does not provide consulting, advisory, financial advice, or any human-delivered professional services.
No physical goods are sold or delivered.
3. Price & Payment
Service prices are displayed clearly on the website before purchase.
SeedScope is the seller of record. All payments are processed securely by Stripe, Inc. ("Stripe"), SeedScope's third-party payment processor. SeedScope handles billing and invoicing and is responsible for determining, collecting, and remitting any applicable sales tax, VAT, and GST.
Stripe accepts major credit and debit cards (including Visa, Mastercard, and American Express) and additional payment methods available in the Buyer's region.
Prices may be offered as:
One-time payments
Monthly or annual subscriptions
Payments are made in the currency displayed at checkout, which is typically US Dollars (USD) and may include other currencies supported by Stripe in the Buyer's region.
The Buyer confirms that they have reviewed and accepted the price prior to completing the transaction. Invoices and payment receipts are issued by SeedScope. Stripe's processing of payment data is governed by Stripe's Privacy Policy (https://stripe.com/privacy).
4. Delivery of Service
All services are delivered exclusively in digital form.
Access is granted through the Buyer's SeedScope account immediately after payment confirmation.
In exceptional technical circumstances, delivery may take up to 24 hours.
If access is not provided within this period, the Buyer may contact SeedScope at info@seedscope.ai.
5. Consumer Right to Cancel
5.1 14-Day Cancellation Right
If the Buyer is a consumer, they have the right to cancel the purchase and receive a full refund within 14 days from the date of the transaction, without giving any reason. To meet the cancellation deadline, it is sufficient that the Buyer sends their communication concerning the exercise of the cancellation right before the expiration of the 14-day period.
To exercise this right, the Buyer may contact SeedScope at info@seedscope.ai. If the Buyer cancels within this 14-day period, SeedScope will reimburse all payments received without undue delay and no later than 14 days after being informed of the decision to cancel, using the same means of payment as the original transaction.
5.2 Exception for Digital Content
Where a product is digital content that is made available immediately, by accessing or downloading the service the Buyer consents to immediate performance and acknowledges that the right of withdrawal is lost once delivery of the digital content has begun.
5.3 Turkish Consumer Law
In accordance with Article 15 of the Regulation on Distance Contracts (issued under Turkish Consumer Protection Law No. 6502), because SeedScope provides digital content and services that are delivered instantly, a Turkish consumer Buyer waives the right of withdrawal once the delivery of the service has begun and expressly consents to such immediate performance at the time of purchase.
6. Refund Policy
All refunds are handled by SeedScope in accordance with SeedScope's Delivery & Refund Policy. Refunds are provided at SeedScope's discretion on a case-by-case basis. SeedScope may refuse a refund request, or issue a refund proactively, where there is evidence of fraud, a high risk of chargeback, or other manipulative behaviour. This does not affect the Buyer's rights as a consumer in relation to products which are not as described, faulty, or not fit for purpose.
To request a refund, the Buyer may contact SeedScope at info@seedscope.ai. Approved refunds are processed by SeedScope through the original payment method via Stripe. The Delivery & Refund Policy (https://www.seedscope.ai/legal/delivery-refund-policy) provides additional detail and forms an integral part of this Agreement.
7. Buyer Obligations
The Buyer agrees to provide accurate and complete information during registration and purchase.
The Buyer is responsible for maintaining the confidentiality of their account credentials.
The Buyer agrees to use the service in accordance with the SeedScope Terms of Service and applicable law.
8. Seller Rights
SeedScope reserves the right to suspend or terminate access in the event of fraudulent, abusive, or unauthorized use.
SeedScope reserves the right to modify the features or scope of the service, with reasonable notice where such changes are material.
SeedScope reserves the right to update pricing for future purchases and renewals.
9. Privacy & Data Protection
Personal data is processed in accordance with SeedScope's Privacy Policy, available at: https://www.seedscope.ai/legal/privacy-policy
For payment transactions, Stripe processes personal and payment data in accordance with its own privacy policy, available at: https://stripe.com/privacy
By accepting this Agreement, the Buyer consents to such processing in accordance with the EU General Data Protection Regulation (GDPR) and the Turkish Personal Data Protection Law (KVKK, Law No. 6698) where applicable.
10. Governing Law & Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from or in connection with this Agreement shall be resolved in accordance with the dispute resolution provisions of the SeedScope Terms of Service.
Notwithstanding the foregoing, consumers resident in the European Economic Area, the United Kingdom, or Turkey retain the mandatory consumer-protection rights and access to the forums available under the laws of their country of residence, which are not affected by this choice of law.
11. Electronic Acceptance
By completing the purchase process and confirming payment, the Buyer acknowledges that they have read, understood, and agreed to this Distance Sales Agreement, and consents to the use of electronic records and signatures in connection with this transaction.
12. Entry into Force
This Agreement enters into force at the moment the Buyer completes the payment and confirms the purchase electronically. The contractual relationship for the delivery and use of SeedScope's services, and for the payment transaction, is between SeedScope and the Buyer. Payments are processed by Stripe acting as SeedScope's payment processor.
